Terms & Conditions for Voicey

Please read these Terms & Conditions (“Terms”) carefully before using the Voicey application (“App”) operated by Kali Ink Private Limited (“we”, “us”, “our”, “Kali Ink”).

By downloading, installing, or using Voicey, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 18 years of age to use Voicey. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of Service

Voicey is a voice recording and AI-powered transcription app for iOS. The App allows you to:

  • Record voice memos
  • Transcribe recordings on-device
  • Generate AI-powered notes and summaries
  • Manage recordings in a personal voice vault
  • Receive weekly digest summaries

Features may vary depending on your subscription plan.

3. Acceptable Use

You agree to use Voicey only for lawful purposes. You shall not:

  • Use the App to record conversations without the consent of all parties where required by law
  • Submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable to AI processing features
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Circumvent, disable, or interfere with any security features of the App
  • Use the App to infringe upon the intellectual property rights of others
  • Transmit viruses, malware, or other harmful code through the App
  • Use the App in any manner that could damage, disable, or impair our services
  • Use automated systems or bots to access or interact with the App

We reserve the right to suspend or terminate your access if you violate these Terms.

4. Subscriptions, Billing, and Credits

4.1 Subscription Plans

Voicey offers the following plans:

  • Free Tier: 10 AI credits per month with basic features
  • Pro Monthly: Unlimited AI credits with full feature access, billed monthly
  • Pro Yearly: Unlimited AI credits with full feature access, billed annually

4.2 Billing and Payment

All subscriptions are processed through Apple In-App Purchases and managed by RevenueCat. Payment is charged to your Apple ID account at confirmation of purchase. We do not collect or store your payment card information.

4.3 Renewal and Cancellation

  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
  • You can manage or cancel your subscription through your Apple ID settings or the App Store
  • No refunds are provided for the current billing period upon cancellation
  • Refund requests must be directed to Apple, as they process all payments

4.4 Credits System

  • Free tier users receive 10 AI credits per month, which reset at the beginning of each billing cycle
  • Pro subscribers have unlimited AI credits
  • Unused free credits do not roll over to the next month
  • Credits are used when accessing AI-powered features (notes, summaries, digest)

4.5 Price Changes

We reserve the right to change subscription prices. Price changes will take effect at the start of your next billing period following notice of the change. Your continued use of the App after a price change constitutes acceptance of the new pricing.

5. AI-Generated Content

5.1 Disclaimers

AI-powered features (including transcription enhancements, notes, summaries, and weekly digests) are generated using third-party AI models. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or omissions
  • AI output should not be relied upon as professional, legal, medical, or financial advice
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You are solely responsible for reviewing and verifying AI-generated content before relying on it

5.2 Sensitive Data Warning

Do not submit highly sensitive personal information (such as financial account numbers, medical records, government identification numbers, or passwords) through AI-powered features. While we implement reasonable safeguards, AI processing involves third-party services whose data handling is described in our Privacy Policy.

6. Intellectual Property

6.1 Our Intellectual Property

The App, including its design, code, graphics, logos, and content, is owned by Kali Ink Private Limited and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the App without our prior written consent.

6.2 Your Content

You retain ownership of all audio recordings, transcripts, and other content you create using the App (“Your Content”). By using AI-powered features, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the requested service features.

7. Disclaimers

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

We do not warrant that:

  • The App will be uninterrupted, error-free, or secure
  • Transcriptions or AI-generated content will be accurate or complete
  • The App will meet your specific requirements
  • Any defects in the App will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KALI INK PRIVATE LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, profits, or business opportunities
  • Personal injury or property damage related to your use of the App
  • Unauthorized access to or alteration of your data
  • Any errors or omissions in AI-generated content
  • Any other matter relating to the App

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kali Ink Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your Content submitted through the App

10. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the App ceases immediately
  • Your locally stored data remains on your device
  • Active subscriptions may be canceled (refund eligibility is subject to Apple’s policies)
  • Provisions that by their nature should survive termination shall remain in effect

You may terminate your use at any time by deleting the App and canceling any active subscription through the App Store.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the App shall be resolved through:

  1. Informal negotiation — Contact us at [email protected] to attempt resolution within 30 days
  2. Mediation — If negotiation fails, disputes shall be submitted to mediation in Nepal
  3. Binding arbitration — If mediation fails, disputes shall be resolved through binding arbitration in Nepal, conducted in English

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Last updated” date at the top of this page
  • Notify you through the App or other appropriate means

Your continued use of the App after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kali Ink Private Limited regarding your use of Voicey and supersede all prior agreements and understandings.
